Many entrepreneurs are planning to expand internationally, particularly to Dubai as a business location. In practice, however, this step often fails due to complex legal frameworks, tax peculiarities and restricted market access.

Although the United Arab Emirates (UAE) offer considerable economic opportunities, they are highly regulated. Even small mistakes when setting up a company in Dubai can lead to legal risks, tax disadvantages or operational restrictions, in addition to not inconsiderable additional costs.

A Dubai LLC is therefore one of the most important forms of company for international investors who want to combine a legally secure structure with flexible market access.

What is a Dubai LLC?

A Dubai LLC (Limited Liability Company Dubai) is a limited liability company under UAE company law.

It has its own legal personality, meaning that the company acts independently of its shareholders. The liability of the shareholders is generally limited to their contribution.

A key advantage is that business activities are permitted in the mainland of Dubai. This clearly distinguishes the Dubai LLC from other structures such as the Dubai Freezone or offshore companies, which generally allow no or only limited access to the local market.

Dubai LLC vs. Freezone and offshore companies in the UAE

When choosing the right corporate structure in Dubai, investors are regularly faced with the decision between LLC, freezone and offshore.

Structure Market access Ownership Utilization
Dubai LLC Full mainland access, government contracts often 100% possible Local + international business activities
Freezone restricted 100 % foreign International, largely outside Mainland depending on activity
Offshore No operational access 100 % foreign Holding / asset structure

Forming a Dubai LLC: step-by-step explanation

The formation of a Dubai LLC follows a clearly structured official procedure.

  1. Choice of business activity: First, the economic activity is determined. This determines the required license (e.g. commercial, service or industrial license) and the permitted scope of activity.
  2. Reservation of the company name: The name is then reserved with the competent authority in Dubai. The name must be unique and comply with the legal requirements.
  3. Determining the shareholder structure: A Dubai LLC can have up to 50 shareholders. In many cases, full foreign participation is also possible.
  4. Application to the authorities: All documents are then submitted to the relevant authorities.
  5. Registered office: At the same time, a physical registered office must be proven, for example an office or a desk office.
  6. Licensing: After examination and payment of fees, the business license is issued.
  7. Account opening and start of operations: Finally, the account is opened and business operations are launched.

Costs of a Dubai LLC: Formation and ongoing fees

No statutory minimum capital is required for the formation of a Dubai LLC. However, depending on the business model, a reasonable amount of share capital may be required.

The total costs depend in particular on the structure, location and license type:

Cost factors Average costs
Registration & initial application 4.000 – 7.000 EUR
Annual license costs 4,000 – 8,000 EUR
Office rent (depending on location) from 2,500 EUR/year
Optional costs (e.g. visa) from 700 EUR per employee
Consultant fees/service partner variable (recommended for foreigners)

Taxes in Dubai: Advantages of the Dubai LLC at a glance

One of the main reasons for setting up a company in the UAE is the attractive tax environment.

Corporate income tax in the UAE is 0% in many cases, although a tax rate of 9% applies above a certain profit threshold. In addition, there is a small business regulation that exempts taxation of profits until December 31, 2026 if turnover does not exceed AED 3 million. Withholding tax on dividends or license fees is not levied in many cases.

VAT also only applies from a taxable annual turnover of AED 375,000. For many small and medium-sized companies, this initially means considerable tax relief. In addition, exemptions can be applied for under certain circumstances.

Advantages of a Dubai LLC for international entrepreneurs

Dubai LLC offers international entrepreneurs direct access to the market in Dubai and the entire mainland of the UAE. It enjoys a high level of recognition among banks, authorities and business partners and is established both regionally and internationally.

The company form is also suitable for a variety of business models. It is used particularly frequently in the area of trade, especially import and export. It is also suitable for service companies such as consulting, IT or marketing firms. Production companies, catering businesses and traditional retail structures also benefit from the flexible structure of the license.

Another advantage is the possibility of applying for residence and work visas for shareholders, employees and family members. The number of visas depends in particular on the size of the office space and the economic activity of the company.

Since a change in the law in 2021, full foreign participation is also possible in many sectors. A local sponsor (UAE shareholder) is no longer required in these cases. However, there are still restrictions in regulated areas such as the banking sector, the energy sector and other strategically sensitive industries.

Regulatory requirements and compliance in the UAE

In addition to the economic benefits, the regulatory requirements must also be taken into account. These include, in particular, the obligation to have a physical business presence and economic substance requirements under the Economic Substance Regulations. Anti-money laundering regulations also apply, which are particularly relevant when opening an account and during ongoing business operations.

Who is a Dubai LLC suitable for?

Dubai LLC is particularly suitable for entrepreneurs who are looking to expand internationally or are already active in the GCC market and/or are interested in government contracts in the UAE, such as ADNOC. Trading companies with import and export structures, digital business models and international service providers will benefit in particular.

The Dubai LLC is less suitable for purely locally oriented small businesses without a growth strategy or for purely passive holding structures where alternative company forms may make more economic sense.
